1. Agreement to Terms

By engaging Service Support Solutions for any service or by using our website, you agree to be bound by these Terms and Conditions. If you do not agree, you may not use our services. These terms apply to all engagements, whether for web development, app development, digital marketing, AI automation, or any other service we offer. Engaging our services via email, phone, contract signature, or payment constitutes acceptance of these terms.

2. Scope of Services

Service Support Solutions provides digital services including web development, app development, digital marketing, and AI automation. The specific scope, deliverables, timeline, and pricing for each engagement are outlined in a separate Statement of Work (SOW) or project agreement provided prior to the start of work. Any work performed outside the agreed scope will be quoted separately and requires written approval before proceeding. We reserve the right to decline projects that fall outside our capabilities or do not align with our standards.

3. Intellectual Property

Upon receipt of full payment for a project, the client receives ownership of all custom code, designs, and creative work produced exclusively for that engagement. Service Support Solutions retains ownership of all pre-existing tools, frameworks, templates, libraries, and methodologies used across projects. Third-party components included in deliverables remain subject to their respective licenses. The client may not claim ownership of, resell, or redistribute work produced by Service Support Solutions without explicit written agreement prior to that use.

4. Client Obligations

The client is responsible for providing timely feedback, approvals, and required project materials including copy, images, access credentials, and brand assets as outlined in the project schedule. Delays caused by late client deliverables may extend project timelines and do not constitute a breach by Service Support Solutions. The client is responsible for ensuring that all content provided for use in a project does not infringe on the rights of any third party and complies with all applicable laws. Service Support Solutions is not liable for legal issues arising from client-supplied content.

5. Fees and Payment

A deposit of 50% of the total project fee is required before work begins. The remaining balance is due upon project completion unless a milestone payment schedule is outlined in the SOW. For projects exceeding four weeks, invoices are issued per milestone. All invoices are due within 10 days of issuance. Late payments are subject to interest at a rate of 2% per month on the outstanding balance. Service Support Solutions reserves the right to pause work on any engagement with an overdue invoice until payment is received. All quoted prices are valid for 30 days from the date of the quote.

6. Limitation of Liability

Service Support Solutions' total liability for any claim arising out of or relating to these terms or any project engagement shall not exceed the total amount paid by the client for the specific project giving rise to the claim. In no event shall Service Support Solutions be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or loss of business opportunities, even if advised of the possibility of such damages. The client acknowledges that digital services carry inherent risks and that outcomes such as search rankings, advertising performance, and conversion rates cannot be guaranteed.

7. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and sensitive information disclosed during the engagement, including project details, business strategies, pricing, technical documentation, and client data. This obligation remains in effect for two years following the conclusion of the engagement. Either party may disclose confidential information as required by law, court order, or government authority, provided that reasonable prior written notice is given to the other party where permitted by law.

8. Termination

Either party may terminate an engagement with 14 days written notice to the other party. If the client initiates termination, payment is due for all work completed through the termination date, including reasonable wind-down costs, as documented in our project management system. Service Support Solutions may terminate an engagement immediately and without prior notice if the client breaches any material provision of these terms, or if payment on any invoice is more than 15 days overdue. Upon termination, the client retains rights only to deliverables fully paid for up to that point.

9. Dispute Resolution

These Terms and Conditions are governed by and interpreted in accordance with the laws of the State of Pennsylvania, without regard to its conflict of law provisions. Any dispute arising out of or relating to these terms or any project engagement shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Pittsburgh, Pennsylvania. Each party waives the right to a trial by jury and to participate in any class action claim. Costs of arbitration shall be shared equally unless the arbitrator determines otherwise.

10. Amendments

Service Support Solutions reserves the right to update or modify these Terms and Conditions at any time. Any changes will be posted on this page with the updated date shown at the top. For active clients, we will make reasonable efforts to notify you of material changes by email. Your continued use of our services after updated terms are posted constitutes acceptance of the revised terms.
